Location

  • Support internal legal team and outside counsel in the preparation, filing and maintenance of SEC filings, including 10-K, 10-Q, 8-Ks, proxy statement, Form 4s, Form 5s, etc.
  • Coordinate distribution and collection of Board-related documentation, including annual self-assessment process and D&O questionnaires
  • Oversee day-to-day management and maintenance of corporate governance records across all subsidiaries and the parent company, ensuring timely preparation, review and filing of Board of Directors and Committee minutes
  • Coordinate due diligence activities for M&A and/or debt and security transactions, including document preparation and data room maintenance and updates
  • Support the development and implementation of standardized processes, procedures and training
  • Assist in the development and implementation of a contracting process and contracts lifecycle management system, as well as playbooks and templates
  • Draft, negotiate and review a wide variety of contracts, including but not limited to non-disclosure agreements, master services agreements, statements of work, clinical trial agreements, and other specialty agreements
  • Partner with internal clients to ensure timely completion of agreements with optimal contractual terms aligned with business need and risk profile
  • Develop and lead internal playbook trainings on key contract terms to ensure consistency across the business
  • Comfortable managing and prioritizing a high volume of contract requests
  • Assist in the development and implementation of a comprehensive compliance program, including key corporate policies
  • Collaborate closely with other G&A functions, including Finance, Corporate Communications, Human Resources, and IT

Education, Experience & Skills Requirements

  • Bachelor’s degree preferred
  • Five (5) or more years of experience as a contracts manager or corporate paralegal.  Law firm or public company experience required.  Experience in a pharmaceutical/biotechnology company preferred
  • Contract drafting and negotiation experience required.  Understanding of contracts, key contract terms and the contract lifecycle is critical.  Experience implementing a contracts lifecycle management system is a plus
  • Must be adaptable and able to excel in a fast-paced, creative environment where every minute counts
  • Strong attention to detail required, as well as demonstrated organizational and time management skills
  • Must have the ability to solve problems independently and use sound business good judgment
  • Ability to work independently and as part of a small, but growing team.
  • Strong oral and written communication skills
  • Must be an expert user of Microsoft suite, including Outlook, Word, Excel and PowerPoint
  • Ability to work in a small company with a largely virtual environment
  • Ability to manage complexity and uncertainty
  • Strong team interaction and communication skills
